Minute Book: Board of Directors; AGMs

This volume contains minutes of meetings of the board of directors, as well as minutes of meetings of shareholders. Shareholders are described as 'incorporators and subscribers to the capital stock' in the minutes of the first meeting, and as 'stockholders' periodically thereafter.

There is an index at the front of the volume.

A number of the copies of minutes have been signed by the Secretary, but most have not.

The by-laws of the company appear on pp. 6-18. They have been struck through in pencil, and endorsed 'OBSOLETE: New Articles Adopted 6.1.48 - see copy on file no. 17'.

There are gaps in minutes in the volume - none appear dating from December 1919 to December 1922 inclusive, and from January 1924 to December 1927 inclusive.

There is very little detail on the administration of the company in the records of early meetings of shareholders and directors. Most minutes concern the appointment and election of directors, the holding of meetings, the company's regulatory context, and when necessary for the completion of particular transactions. Minutes do state on a regular basis that "there was a general discussion of the business of the Company", or some similar phrase, but no more detail is usually given.

Some endorsements appear on pp. 72-3 by J A Hill, company secretary in Berkhamsted. Further endorsements appear later on in the volume. It is assumed that, where endorsements appear, Hill had raised questions about the contents of the minutes.

The meeting of 12 Jul 1933 took place on the same day as the funeral of the late Company Secretary and General Council, and as a result no business was transacted at the meeting.

Part of the minutes of the AGM held on 2 Jan 1934 (pp. 159-160) have been struck through.
