Minute book: Board of Directors, AGMs, EGMs

The volume contains minutes of meetings of the board of directors of the company, as well as minutes of AGMs and EGMs. pp. 137 onwards contain the minutes of AGMs fixed upside down in the volume, with the earliest at the back. There are some directors' reports and papers for the AGMs fixed in to the volume with the appropriate sets of minutes. The first meeting of the board has been treated as if it were an AGM. There were very few meetings noted early on in the volume, but following a restructuring in 1939 more frequent meetings took place, and the company became fully operational. This appears to have coincided with a transference of the company from a base in Berkhamsted to a base in Dublin. Matters discussed at meetings included the administration of the company, board membership and members, statutory and regulatory matters, payment of dividends and other financial matters, and relations with the main Coopers company in Berkhamsted. There is some mention of individuals, for example in relation to salaries and other employment matters. Some copy resolutions are fixed in the volume. Much of the documentation is signed. There is an index at the front of this volume. Approval is given to plans for the erection of a factory on p. 8. A list of early subscribing shareholders is given on pp. 14-15. On pp. 58-59 there is a copy letter written by the company to the main company in Berkhamsted, asking for financial guarantees to help it meet its obligation to pay a 6% dividend. The dismissal of the general manager of the company, following an incident between him and the Company Secretary at the home of the latter, is documented on pp. 81-2. In between pp. 98-99 there is a covering letter to the main UK company which would have been sent with copy board minutes. An agreement with Boots Pure Drug Co Ltd for the manufacture of products for sale in Ireland is noted on p. 106. The value of early orders under this agreement is noted on p. 114. Agreement to a surety for the proper use of methylated spirits by the company, required by law, is noted on p. 134. p. 147 is blank.
