Description

Correspondence (1958-1962) with C L J Wardley, concerning Share transfer:

"The shares of [Roxburgh, Morgan & Co Ltd], although owned by CM&R have always been held in the names of nominees, namely, Mr A S Roxburgh and Mr Brechin. Mr Brechin has recently died and the one hundred shares which stand in his name must now be transferred" (19 November, 1957);

and concerning the continuing appointment of A S Roxburgh as a Director, until 1962:

"Mr Wardley tells me that Roxburgh, Morgan & Co Ltd becomes a Non-Trading Company, and your resignation as a Director has therefore been accepted and a nominal Board elected so as to retain the Company's name" (29 May, 1962).

The file also contains two signed and sealed Agreements of earlier dates:
20 December, 1928. Between Roxburgh, Morgan & Co Ltd and Alexander Shanks Roxburgh, appointing him as Joint Managing Director.
1 November, 1939. Declaration of Trust. Between Cooper, McDougall & Robertson Ltd and Hugh Brechin, as the holder of 100 shares of £1 each on behalf of Cooper, McDougall & Robertson Ltd.
