Minute Book: Board of Directors, AGMs, EGMs

This volume contains minutes of meetings of the Board of Directors, and minutes of the EGMs and AGMs of the company. Meetings of the board took place monthly at most times, but at other times there were longer gaps (of up to six months or so) between meetings. The frequency of meetings often depended on whether there was a particular activity or project which the company was pursuing.

Matters discussed at meetings included the administration of the company and the board, statutory matters, the financial position of the company and distribution of profits, relations with other companies (often in the Coopers family), and particular products and manufacturing arrangements. These often included discussions on the company's Yalding (Kent) premises. Some matters connected with staff appointments are noted in the minutes.

The index at the front of the previous volume (WF/C/S/18/02) applies to this volume, and it is likely that they originally formed one volume between them.

Legal action to protect a patent in Germany is noted on p. 152. The acquisition of the share capital of Tomlinson & Hayward Ltd is noted on p. 169. The closure of the company's sales office in Jersey is noted on p. 178. The payment of a gift to mark the Coronation of Queen Elizabeth II is noted on p. 179. A payment to an employee in respect of his early retirement, and for the maintenance of his son, is noted on p. 197 The institution of a profit-sharing scheme, along the lines of that of ICI, is noted on p. 218. A case of poisoning in Guernsey by the 'Fosferno' 20 chemical is discussed on p. 229. A memo with an amendment to the minutes has been pasted on to p. 240. The visit of HRH the Duke of Edinburgh to Fernhurst research station is discussed on p. 245. The advent of commercial television and its impact on the business in the UK is noted on pp. 249-250, & p. 254.
