Cooper, McDougall & Robertson Ltd: Agreements with D S A McDougall and M H McDougall

With orginal file index, dividing the papers into three parts, as follows:

1. 27 March, 1940. Signed and sealed Agreement between Cooper, McDougall & Robertson Ltd and Douglas Sidney Arundel McDougall and Michael Henry McDougall. Agreement entered into "in compromise of the said disputes mentioned in recitals 2 and 4":

recital 2: "[Whereas] Douglas McDougall is a Director of the Company [Cooper, McDougall & Robertson Ltd] and contends that he is the General Manager thereof whilst the Company contends that he has ceased to hold such office and further contends that such office was abolished in May 1939";

recital 4: "[Whereas] In the year 1939 negotiations took place between the parties hereto for long term service engagements of Douglas McDougall and Michael McDougall with the Company in its Home Trade at fixed salaries with participation in profits and Heads of Agreement dated 19th June 1939 were signed which the Company contends never became enforceable as an agreement binding on all parties but which contention Douglas McDougall and Michael McDougall dispute".

Under the Agreement, the Company is to pay Douglas McDougall the sum of £12,500, Douglas McDougall is to enter into a Deed of Covenant (see below), and Douglas McDougall is to transfer to the Company money or securities to the value of £5,000 as security against the performance of the terms of the Covenant.

2. 27 March, 1940. Signed and sealed Deed of Covenant between Cooper, McDougall & Robertson Ltd and Douglas Sidney Arundel McDougall, who covenants "that he will not for a period of five years ... be engaged or concerned or interested in the manufacture or sale of sheep or cattle dips or insecticides in any part of the world...."

3. Papers relating to the deposit by D S A McDougall of security to the value of £5,000.

The file also contains drafts of the above Agreement and Deed of Covenant, and papers (1946-47) concerning the repayment to D S A McDougall of the £5,000 security.
