Correspondence with Bird & Bird, Solicitiors, and TRC member-companies, concerning Clause 10(e), referring to confidentiality and intellectual property rights.

The Clause gave rise to a Memorandum (2 January, 1942) from Mr A Sugden (Secretary, Boots Pure Drug Co Ltd) to Lord Trent, a copy of which was passed the TRC Secretary. Boots, wrote Sugden, "take the view that we are content to rely upon the principles of common law (that an employee must at all times act in good faith towards his employer) as proper protection of our property rather than have an agreement or letter referring to specific conditions which may act as a limitation rather than a doubtful further protection." After some discussion, the matter was resolved.
