16 April, 1896. Memorandum of Agreement for the Settlement of the Action. "The Defendant to pay on 6th May 1896 to the Plaintiff £40,000 further on account of the amount payable by him for the Testator's interest in the Partnership property, and on payment of that sum the Plaintiff to consent to the Defendant obtaining from the Chancery Lane Safe Deposit Company the Title Deeds relating to the Phoenix Mills at Dartford, and to deliver to the Defendant her key of the safe containing the said Deeds." Any further amount payable to be determined by the accountants of each party, who are "to meet and jointly decide" by 30 April. A schedule for payment by three equal instalments is noted, Plaintiff and Defendant to pay their own costs.

8 May, 1896. Opinion of Charles H Sargant. "The Defendant, if desirous of enforcing the compromise should in my opinion apply at once in the action for a stay of all further procedings upon the terms of the Agreement." Typescript.
